Head of Legal and General Counsel

1Finity Americas, Inc. is seeking an experienced and business‑minded attorney to serve as Head of Legal and General Counsel , responsible for leading the company’s legal function and providing strategic legal guidance across the enterprise. This role serves as a trusted advisor to executive leadership and plays a critical role in enabling the company’s commercial objectives while managing legal, regulatory, and compliance risk. The ideal candidate brings strong commercial acumen, experience in regulated and technology‑driven environments, and the ability to translate complex legal issues into practical, solution‑oriented business advice. Experience in the telecommunications industry—particularly within the wireless and optical technology vendor ecosystem—is strongly preferred.

Key Responsibilities

Strategic Legal Leadership

  • Serve as the company’s

chief legal advisor , partnering with executive leadership in both the Americas region and with headquarters (located in Japan) to align legal strategy with business objectives and growth initiatives

  • Serve as Corporate Secretary

for designated legal entities, overseeing corporate governance, board support, and statutory compliance.

  • Global partner with international legal teams, regional counsel, and external advisors to support global operations, cross‑border transactions, and compliance with local laws and regulations. Experience in Western Europe is preferred.
  • Provide clear, actionable guidance on legal risk, regulatory exposure, litigation strategy and strategic transactions to support informed decision‑making
  • Anticipate legal and regulatory trends impacting the business and proactively advise leadership on mitigation strategies

Corporate Governance & Enterprise Risk

  • Advise senior leadership on

corporate governance, fiduciary responsibilities, and material legal risks

  • Oversee corporate governance matters, including entity management, corporate policies, and internal governance processes
  • Lead the company’s approach to

enterprise legal risk management , including litigation exposure, investigations, and regulatory compliance Commercial Transactions & Intellectual Property

  • Lead and oversee complex commercial transactions, including customer, vendor, licensing, and strategic agreements
  • Provide guidance on intellectual property matters, including protection, licensing, and risk management
  • Review and approve significant bids, proposals, and contracts to ensure alignment with legal, regulatory, and business requirements

Regulatory, Compliance, Privacy & Cybersecurity

  • Oversee compliance with applicable laws and regulations, including industry‑specific regulatory requirements
  • Provide leadership on

data privacy and cybersecurity matters , including GDPR‑related agreements such as Data Processing Agreements and Processing Descriptions

  • Serve as the primary legal point of escalation for regulatory inquiries, audits, and internal or external investigations

Legal Department & Resource Management

  • Lead, mentor, and develop the legal function, establishing policies, procedures, and best practices
  • Manage relationships with outside counsel and other external advisors, including oversight of legal spend and resource allocation
  • Implement efficient legal operations, including matter tracking, reporting, and use of company systems and tools consistent with global legal and local entity requirements

Qualifications & Experience

  • Juris Doctor (J.D.) degree from an accredited law school; admitted to practice and in good standing as an active member of the bar in at least one U.S. state or the District of Columbia (required), with a strong preference for admission to the State Bar of Texas (candidates admitted in other jurisdictions will be considered).
  • 10+ years of progressive legal experience

, including significant in‑house experience; prior experience in a senior legal leadership or general counsel role strongly preferred

  • Demonstrated experience handling complex commercial transactions in a regulated or technology‑driven industry, or global environment; telecommunications industry experience is preferred.
  • Strong knowledge of regulatory compliance, intellectual property, labor and employment issues, privacy, and cybersecurity
  • Experience advising senior executives outside of the United States and collaborating effectively across corporate support functions
  • Proven ability to balance legal rigor with practical business judgment
  • Exceptional written and oral communication skills, including plain‑English drafting and executive‑level presentations
  • Strong leadership, interpersonal, and relationship‑building skills
  • Ability to operate independently while managing multiple priorities in a fast‑paced environment
  • Comfort with Microsoft Office 365; experience leveraging legal and business systems to improve efficiency
  • Intellectual curiosity, adaptability, and a passion for technology and innovation

Location This position is hybrid and may require periodic in‑person attendance at meetings in the Dallas, Texas area . Occasional domestic and international travel as required to support global legal and business needs. 1Finity salaries are aligned to the specific geographic location in which the work is primarily performed. It is not typical for an individual to be hired at or near the top of the range for their role and compensation decisions are dependent on the circumstances of each situation. The pay range for this role takes into account the wide range of factors that are considered in making compensation decisions including but not limited to: specific skills, qualifications, experience, and comparison to other employees already in this role. The pay range for this position is estimated at $243,800 to $348,285 USD. Additionally, this role may be eligible for a short-term incentive based on company results and individual performance.
